WILDLIFE WORLD LTD - TRADE SUPPLIES TERMS AND CONDITIONS

 

'The Company' (or ‘us, we’) shall mean Wildlife World Ltd.

'The Buyer' (or ‘you’) shall mean the person, firm or company purchasing the goods as specified on the invoice.

'The Goods' shall mean the goods to be supplied by the Company to the Buyer under the contract in accordance with these Terms and Conditions and as specified on the invoice.

“Online Marketplace” shall mean any digital platform that connects merchants with potential customers with a view to enabling direct purchases on the platform.

No order of the Buyer placed with the Company shall be binding on the Company unless and until it is accepted by the Company in writing.

 

The Company is not obliged to accept cancellation of accepted orders and may require payment of a cancellation charge before accepting any cancellation.

 

The price of the Goods shall be set out in the Company's order acknowledgement or invoice but the Company reserves the right at its option to charge or credit to the Buyer the amount of any error or omission in the price as so set out.

 

The Buyer agrees that the Company shall have the right at any time before delivery of the Goods to withdraw any discount and/or raise any prices quoted after the Company’s acceptance of an order for raw material price changes, exchange rate fluctuations, third party price changes, Duty/VAT changes or for any reason beyond the Company’s control that increases its manufacturing and distribution costs.

 

Delivery Dates

The Company intends to use its best endeavours to comply with any date or dates for dispatch or delivery of the Goods stated in the contract. However, as many items are hand-made, times shall not be of essence and any date shall constitute statements of expectation and shall not be binding.

  1. The Company reserves the right to make deliveries/and or services by instalments and to render a separate invoice in respect of each such
  2. If the Company exercises its right to make deliveries/and or services in accordance with sub-paragraph a) above, then any delay in the provision of such deliveries and/or services, or failure to deliver any further instalment or instalments, shall not entitle the Buyer to reject the Contract or the delivery/service of any other instalment or to withhold payment in respect of any instalment previously delivered/serviced.

 

 

Payment

Normal payment terms are Pro-forma should an account not be in place. Should credit terms be required, the first two invoices will be Pro-forma, and on establishment of a trading relationship and provision of Bank References and two trade references, a 30-day credit account may be considered.

We reserve the right to charge interest for payments received after due dates at a rate of 4% per annum above HSBC Bank Base Rate prevailing at that time.

Title to all goods remains with the Company until full payment is received.

Any shortage or damage should be notified to the Company by the Buyer in writing w within three days of receipt of goods (please see ‘Faulty Items’ below).

 

Limitation of liability

The Company’s liability to the Buyer shall not exceed the price of the relevant Goods for which payment has been received by the Company, provided always that the Company shall not, in any event, be under any liability whatsoever or howsoever for any loss of sales or business, loss of contracts, loss of use, loss of profit, interruption of business, loss of anticipated savings, loss of or damage to goodwill and/or any indirect, special or consequential losses of any type arising or alleged to have arisen out of any act or default of the Company in respect of its obligations or arising or alleged to have arisen under or in connection with the contract for the Company’s supply of the Goods including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise.  Nothing in this clause or the Contract as a whole excludes or limits any liability which cannot legally be excluded or limited, including liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 12 of the Sale of Goods Act 1979; or (d) defective products under the Consumer Protection Act 1987.

 

 

Returns and Cancellation of Orders

If you refuse delivery from our courier, you will be responsible for the return charge of the Goods and their condition in transit. If you cancel the order within the 7 working day period, you must ensure that all Goods returned to us are to us are packaged adequately to protect against damage.  If you fail to return the Goods, or you request an uplift, we will collect them.  We will charge you the full cost of collection. If you fail to take reasonable care of the Goods before they are returned to us, and this results in damage or deterioration OR you have assembled Goods which cannot then be returned to their original state or condition, we will charge you for the reduction in value.

 

Orders placed in error, even if the Company accepts cancellation of the order at its absolute discretion, will result in a 20% restocking fee; this means we will deduct 20% of the value of the Goods before refunding. You will also be required to return the Goods yourself, and the Goods must be in a fully resalable condition ‘as new’. Once we have received them back, we will check them and issue a refund/credit.

 

Restriction on sales via Online Marketplaces

You must not, without the Company’s express written consent, list the Goods for sale on any Online Marketplace that facilitates sales to consumers, including, but not limited to, Amazon, eBay and Etsy.

 

If we discover that you have listed the Goods for sale on an Online Marketplace in breach of these Terms and Conditions, we shall terminate your contract with immediate effect by notice in writing. Upon receipt of our letter of termination you must cease all further sales of the Goods and return any unsold Goods you have purchased from us in their original packaging at your cost within seven (7) days of receipt of our letter. We will not accept any future orders from Buyers who have breached this requirement.

 

Please note that nothing in these Terms and Conditions prevents you from selling the Goods on the internet through other means, including via your own online website/store or other online channels, although we reserve the right to issue reasonable qualitative standards relevant to ensure the Goods are advertised and presented in an appealing and professional manner which complies with applicable legislation. In addition, you may use search engine optimisation techniques or advertise online, including on third-party platforms to increase the visibility of your own online store or other sales channels.


Faulty Items

In the unlikely event that the Goods are faulty you must notify our customer service department within three working days of receipt by e- mail to info@wildlifeworld.co.uk.  We will, initially, arrange for replacement parts to be sent out to you.  If we feel that this is inappropriate, we will arrange a collection and inspect the faulty Goods.  If we find the Goods faulty, we will arrange a replacement or a full refund.

 

Risk and Ownership

Delivery of the Goods shall be made to the Buyer at the place agreed between the parties and the risk in respect of all Goods shall pass to the Buyer at the time of delivery.

 

Your Rights

Our cancellation policy does not affect your legal rights.

 

Our Right

The Company reserves the right to cancel the contract between us if:

 

  1. The Goods you have ordered are unavailable or have been
  2. We are unable to provide a delivery to you address

 

If we cancel your contract, we will notify you by e-mail or letter. We will not be obliged to offer any additional compensation for any inconvenience or disappointment caused.

 

We reserve the right to change these Terms and Conditions from time to time and your continued use of the Website (or any part thereof) following such shall be deemed to be your acceptance of such change. It is your responsibility to check regularly to determine whether the Terms and Conditions have been changed. If you do not agree to any change to the Terms and Conditions, then you must immediately inform the Company by e-mail to info@wildlifeworld.co.uk or by post.
